Terms of Service

1. The service

Vatlio is a reporting tool operated by Talivio Technology OÜ (registry code 16991406), Ahtri tn 12, Kesklinna linnaosa, Tallinn, Harju maakond, 15551, Estonia ("Talivio", "we"). It imports your e-commerce order data, converts and validates it, and generates OSS/IOSS VAT return summaries and related exports. Vatlio prepares summaries and draft return figures only; it is not tax, legal or accounting advice, and it does not file or submit returns to any tax authority, nor does it offer VAT or OSS/IOSS registration services. You remain responsible for the accuracy, review and filing of your own VAT obligations; the summaries are only as correct as the data behind them.

The service is intended for business and professional use — sellers and the accountants who serve them — not for consumers.

2. Accounts

You agree to provide accurate information when creating an account and to keep your credentials confidential. You are responsible for all activity under your account. Notify us promptly if you suspect unauthorised access.

3. Your data and our role

The order data you connect or upload remains yours. You grant us the limited right to process it in order to provide the service — generating reports, validations and audit records. You are responsible for having the right to share that data with us and for the accuracy of the data you import; reports can only be as correct as the orders behind them.

Where that data includes personal data of your buyers, we process it as your processor as described in the Privacy Policy. We will, on request, enter into a GDPR Article 28 data processing agreement with business customers; our standard DPA is available at [email protected].

4. Acceptable use

  • Do not access the service with automated tools beyond reasonable use or attempt to circumvent rate limits or abuse protections.
  • Do not attempt to access other customers' data or probe the service for vulnerabilities outside a responsible disclosure.
  • Do not resell or white-label the service without a written agreement (the Agency plan covers multi-client use by accountants).
  • Do not use the service for unlawful purposes.

5. Plans and billing

Free and paid subscription plans are available; current prices and inclusions are shown on the pricing page. Paid plans are billed in advance through Stripe, our payment provider, monthly or annually, and renew automatically until cancelled. You can cancel at any time from your billing page; cancellation takes effect at the end of the current billing period. Prices may change with reasonable advance notice — never retroactively.

6. Disclaimer of warranties

The service is provided "as is" and "as available", without warranty of any kind, whether express or implied. We do not warrant that it will be uninterrupted, error-free or secure, or that the conversions, rate validations and report structures will be free of inaccuracies. The service also depends on third-party systems we do not control — the APIs of the sales channels you connect (Shopify, Etsy, eBay, WooCommerce), the ECB exchange-rate feed, the European Commission's VAT-rate database and Stripe — and we are not responsible for their availability or for errors in the data they provide. You and your accountant remain responsible for the returns you file.

7. Limitation of liability

To the maximum extent permitted by applicable law, Talivio is not liable for indirect or consequential damages or loss of profit, including penalties or interest arising from filings based on the reports, from data errors in connected platforms, or from service interruptions. Our total aggregate liability arising out of or in connection with the service is limited to the greater of the fees you paid us in the twelve months preceding the event giving rise to the claim, or EUR 100.

Nothing in these terms excludes or limits liability that cannot be excluded or limited under mandatory law, including liability for intent (wilful misconduct) or gross negligence, for death or personal injury, or under mandatory consumer-protection law.

8. Intellectual property

The software, design, brand and content of the service belong to Talivio or its licensors. Your imported data and the reports generated from it are yours.

9. Termination

You may stop using the service and delete your account at any time from your account settings; a self-service export lets you take your records with you first, and deleting your account permanently removes your data as described in the Privacy Policy. We may suspend or terminate access for material breach of these terms.

10. Changes

We may update these terms from time to time; material changes will be announced in the app or by email. Continuing to use the service after an update means you accept the current terms.

11. Governing law and jurisdiction

These terms are governed by the laws of the Republic of Estonia, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG). The courts of Harju Maakohus (Harju County Court, Tallinn) have exclusive jurisdiction over any dispute. Nothing in this clause deprives you of the protection of mandatory provisions of the law of your country of habitual residence or establishment that cannot be derogated from by agreement.

Not tax advice. Vatlio prepares OSS/IOSS return summaries from your sales data. It does not file returns with any tax authority and does not provide tax advice — your accountant stays in control of the filing.
